Terms and Conditions

Welcome to cogo.xyz. These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," "your") and PADO Software Design LLC ("CoGo," "we," "us," "our") regarding your access to and use of the CoGo platform and any associated services (collectively, the "Service").

Agreement to Terms

By creating an account, accessing, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and all other policies and guidelines incorporated by reference. If you do not agree with any part of these Terms, you are expressly prohibited from using the Service and must discontinue use immediately.

The CoGo Service

CoGo provides a subscription-based platform that allows users to build, customize, and manage mobile and web applications without traditional coding. The Service includes access to our visual development tools, AI-assisted features, hosting infrastructure, and related support services as defined by your chosen subscription plan. We reserve the right to modify, suspend, or discontinue the Service, or any part thereof, with or without notice at any time.

User Accounts and Responsibilities

To access the Service, you must register for an account. You agree with:

  • • Provide accurate, current, and complete information during the registration process.
  • • Maintain the security and confidentiality of your account password and other credentials.
  • • Be solely responsible for all activities that occur under your account, whether you have authorized such activities.
  • • Notify us immediately of any unauthorized use of your account.

The Service is intended for users who are at least 18 years old. Users under the age of 18 are not permitted to use or register for the Service without the supervision of a legal guardian.

License Grant

Subject to your compliance with these Terms and payment of applicable fees, CoGo grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Service for your internal business or personal purposes during the subscription term.

Intellectual Property Rights: A Dual-Ownership Framework

This section defines the ownership of intellectual property between CoGo and its Users.

  • • CoGo's Intellectual Property: All rights, title, and interest in and to the Service itself—including the underlying software, source code, AI models, proprietary JSON format, user interface, documentation, trademarks, logos, and brand assets—are and will remain the exclusive property of PADO Software Design LLC. These are protected by UAE Federal Law No. 38 of 2021 on Copyrights and Related Rights and other applicable IP laws. These Terms do not grant you any ownership rights to our intellectual property.
  • • Your Intellectual Property: You retain full ownership of, and all intellectual property rights in, the content you create, upload, or display using the Service, including the applications you build ("User-Generated Applications"). To enable us to provide the Service, you grant CoGo a worldwide, royalty-free, non-exclusive license to host, copy, transmit, display, and adapt your User-Generated Applications solely as necessary for us to provide the Service in accordance with these Terms. This license terminates when you delete your User-Generated Application or your account.

Acceptable Use Policy

You agree not to use the Service for any purpose that is unlawful or prohibited by these Terms. You must comply with all applicable UAE laws, including Federal Decree Law No. 34 of 2021 on Combatting Rumors and Cybercrimes. Prohibited activities include, but are not limited to, creating or distributing content that:

  • • Involves hacking, distributing malware, or compromising the security of any network or system.
  • • Spread false news, rumors, or misleading information that could harm public order, national security, or mislead consumers.
  • • Infringes upon the privacy of others, including the unauthorized collection or disclosure of personal data.
  • • It is defamatory, obscene, harassing, threatening, or promotes hatred or discrimination.
  • • Promotes or facilitates illegal activities such as human trafficking, terrorism, narcotics, or money laundering.
  • • Infringes upon the copyright, trademark, or other intellectual property rights of any third party.
  • • Constitutes electronic fraud, phishing, or attempts to unlawfully access financial data or confidential codes.

We reserve the right to investigate violations of this policy and may, in our sole discretion, suspend or terminate your account and remove any offending content without notice.

Fees, Payment, and Subscription

The Service is offered on a subscription basis with recurring fees. By subscribing, you authorize us to charge your chosen payment method on a recurring basis (e.g., monthly or annually) until you cancel. All fees are stated and processed in UAE Dirhams (AED) or US Dollars (USD). Non-AED and non-USD card holders have an option to select payment currency. Prices are subject to change, but we will provide you with at least 30 days' notice of any fee changes.

Service Delivery

Our Service is delivered entirely digitally. Upon successful completion and verification of your payment, your CoGo account will be activated immediately, granting you full access to the platform and features corresponding to your selected subscription plan. A confirmation email containing your account details and a receipt will be sent to your registered email address. This immediate electronic activation constitutes the full and complete delivery of our Service.

Termination

You may terminate these Terms at any time by cancelling your subscription and closing your account. We may terminate or suspend your access to the Service immediately, without prior notice or liability, if you breach these Terms, particularly the Acceptable Use Policy. Upon termination, your right to use the Service will cease immediately, and we may delete your account and all associated data after a reasonable period.

Cancellation and Refund

Our policy is designed to be transparent and compliant with UAE Federal Law No. 15 of 2020 on Consumer Protection.

Subscription Cancellation

You may cancel your subscription to the Service at any time through your account settings. The cancellation will become effective at the end of your current billing period. You will continue to have access to the Service until the end of the billing period, and you will not be charged for the subsequent period. No pro-rata refunds will be issued for the unused portion of the current subscription term.

Refund Policy

As our Service is a digital product with immediate access upon payment, refunds are provided only under specific, limited circumstances:

  • • System Error: If a verifiable technical error on our platform prevents you from accessing the Service for a significant period.
  • • Duplicate Payment: If you were erroneously charged twice for the same subscription period.
  • • Service Not as Described: If the Service is materially different from its description and we are unable to rectify the issue within a reasonable time.

Refund requests must be submitted to contact@cogo.xyz within seven (7) days of the transaction date. All approved refunds will be processed back to the original method of payment within 7-14 business days.

Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without any warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall PADO Software Design LLC, its directors, employees, or agents, be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses.

Our total aggregate liability arising out of or relating to these Terms shall not exceed the total amount of fees paid by you to us for the Service during the twelve (12) months immediately preceding the event giving rise to the claim. The parties acknowledge that under Article 390 of the UAE Civil Code, a judge may, upon the application of either party, vary the pre-agreed compensation to equal the actual loss suffered. This limitation of liability is intended as a reasonable pre-estimate of potential damages and not as a penalty but is subject to this judicial discretion.

Indemnification

You agree to defend, indemnify, and hold harmless PADO Software Design LLC and its affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the Service; (b) your violation of any term of these Terms; or (c) your User-Generated Applications, including any claim that they infringe upon a third party's intellectual property rights.

Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the federal laws of the United Arab Emirates as applied in the Emirate of Dubai. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts of Dubai.
